1. Introduction

Welcome to DSCHOLAR RESEARCH CONSULTANCY AND ANALYTICS (OPC) PRIVATE LIMITED. By using our services, you agree to comply with and be bound by the following terms and conditions, which together with our Policies, govern our relationship with you in relation to our services. If you disagree with any part of these terms and conditions, please inform us immediately or do not use our services.

2. Definitions

  • Company: DSCHOLAR RESEARCH CONSULTANCY AND ANALYTICS (OPC) PRIVATE LIMITED.
  • Client: Any individual or entity that engages the Company for its services.
  • Services: All services provided by the Company.
  • Agreement: These Terms of Service and any other policies and agreements referenced herein.

3. Acceptance of Terms

By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. The Company reserves the right to update or modify these terms at any time without prior notice. Your continued use of our services following any changes constitutes your acceptance of the revised terms.

4. Scope of Services

The Company provides a range of services as agreed upon with the Client. The specific scope, deliverables, and timelines for each project will be outlined in a separate agreement or proposal.

5. Client Responsibilities

  • Provision of Information: The Client agrees to provide all necessary information, data, and materials required for the Company to perform the agreed services.
  • Timely Cooperation: The Client agrees to cooperate with the Company in a timely and efficient manner to facilitate the completion of the project.
  • Accuracy of Information: The Client warrants that all information provided to the Company is accurate and complete.

6. Company Responsibilities

  • Quality of Service: The Company will provide its services with due care, skill, and diligence, in accordance with industry standards.
  • Confidentiality: The Company will maintain the confidentiality of all information provided by the Client, as outlined in our Client Confidentiality Policy.

7. Payment Terms

  • Fees: The fees for our services will be outlined in the proposal or agreement with the Client. All fees are exclusive of any applicable taxes, which the Client agrees to pay.
  • Payment Schedule: The payment schedule will be specified in the proposal/agreement. Unless otherwise stated, payments are due within 30 days of the invoice date.
  • Late Payments: Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

8. Refund Policy

  • Service Satisfaction: The Company is committed to delivering high-quality services. If the Client is not satisfied with the services provided, they must notify the Company within 7 days of receipt of the deliverables.
  • Refund Eligibility: Refunds will be considered on a case-by-case basis. The Company will review the concerns raised and determine if a refund, partial refund, or additional work to address the issues is appropriate.
  • Non-Refundable Fees: Any fees paid for services already rendered are non-refundable.

9. Intellectual Property

  • Ownership: All intellectual property rights arising from the services provided by the Company will be transferred to the Client upon completion of the project or full payment of all fees.
  • Use of Deliverables: The Client is granted a perpetual, royalty-free license to use the deliverables for their intended purpose.

10. Limitation of Liability

The Company’s liability to the Client for any claim arising out of or in connection with the provision of services shall be limited to the amount of fees paid by the Client for the services. In no event shall the Company be liable for any indirect, incidental, consequential, or special damages.

11. Termination

Either party may terminate the agreement with 30 days written notice. In the event of termination, the Client agrees to pay for all services rendered up to the date of termination.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in West Tripura, India.
